1. Company & scope
These terms govern orders placed through the CGP webshop, operated by HaLu Holding B.V., trading as Caribbean Gourmet Procurement ("CGP"), Kaya Topaz 13, Santa Barbara, Kralendijk, Bonaire (Tax ID / CRIB 310-04-2379, KvK 15885). Access to the webshop is by personal invitation only, for CGP's business customers (resorts, restaurants, supermarkets). By placing an order you accept these terms.
2. Orders and acceptance
An order is submitted when you complete checkout on the webshop. CGP will confirm your order by email once it has been received and payment has been made (see Section 4). CGP reserves the right to decline or adjust an order if a product is unavailable, and will inform you before proceeding.
3. Pricing and currency
All prices are shown in US Dollars (USD) and are your final agreed prices at the time of ordering, unless corrected for an evident pricing error. Prices exclude any local import duties, consumption tax or other charges payable in your destination (see Section 6).
4. Payment
All orders must be paid in full, in advance, by bank transfer. CGP does not accept card payments or other online payment methods. Payment instructions (bank details and amount due) are sent by email after you submit an order. Your order is only confirmed and scheduled for shipment once full payment has been received.
5. Container and sourcing grouping
Each product is assigned a container type (Dry, Chilled or Frozen) and a sourcing origin. A single order may only contain products that share the same container type and the same origin, since each order ships as one container. Orders requiring different container types or origins must be placed separately.
6. Import duties and customs
You (the customer) are the importer of record for your order, not CGP. Any import duties, consumption tax or other charges levied by your local authority are your responsibility and are paid directly to CGP's transport/forwarding partner, who remits them to the relevant authority. These charges are separate from and additional to the product prices shown on the webshop.
7. Delivery
Orders are shipped via CGP's freight partner as part of a consolidated container. Delivery timing depends on the sailing/consolidation schedule for your order's container type and origin, and will be communicated after your order is confirmed.
Territory & excluded destinations
CGP delivers throughout the Caribbean region, including Saint Barthélemy (St. Barths) and the French side of Saint Martin. CGP does not deliver to Guadeloupe or Martinique — orders with a delivery address in those territories will not be accepted or fulfilled.
Incoterms
Unless expressly agreed otherwise in writing, all sales are concluded under FCA (Free Carrier) – Port of Loading, Incoterms® 2020. Risk passes to the Customer upon delivery of the goods to the carrier at the agreed port of loading; the Customer bears transportation, insurance, import duties and all downstream costs from that point, consistent with Sections 6 and 7 above.
Confidentiality & supply chain protection
All sourcing structures, supplier relationships, logistics arrangements and product configurations are confidential and proprietary to CGP. The Customer shall not attempt to identify, disclose, or bypass CGP's sourcing or supply chain.
8. Claims and discrepancies
The Customer must inspect goods immediately upon receipt. Claims regarding visible damage, shortages, or non-conformity must be submitted in writing within 48 hours of delivery. Failure to notify constitutes acceptance of the goods.
9. Cancellations
No sourcing, production, reservation, or shipment will commence without full advance payment. Payments are non-refundable once sourcing, production, or container allocation has started — see Section 4 (Payment).
10. Limitation of liability
CGP's liability is strictly limited to the invoice value of the affected goods. CGP shall not be liable for indirect, consequential, or special damages, including loss of profit, business interruption, or third-party claims.
11. Governing law and jurisdiction
These terms are governed by Dutch law as applicable in the Caribbean Netherlands (BES islands). Any dispute will be submitted to the competent court in Bonaire.
12. Amendments
CGP may update these terms from time to time. The current version is always available at caribbean-gourmetprocurement.com/terms, and the version in effect at the time of your order applies to that order.
Acceptance
By placing an order via the webshop, the Customer confirms acceptance of these Terms & Conditions in full, including the advance payment, shipping, and import duty obligations set out above.
